Assistant General Counsel (ERISA & Compensation)

Hamilton Beach Brands, Inc., a leading designer, marketer, and distributor of small household and commercial appliances, has an opportunity for an Assistant General Counsel at our headquarters office in the Innsbrook Corporate Park.  We’re seeking a dynamic individual to assist the General Counsel in providing effective legal advice to Hamilton Beach Brands Holding Company (HBBHC) and its subsidiaries Hamilton Beach Brands, Inc. (HBB) and The Kitchen Collection, LLC (KC) with primary responsibility for the Company’s ERISA, compensation and benefits-related legal matters.

The successful candidate will be a results driven self-starter with a strong work ethic, excellent organizational, interpersonal and communication skills, and will have demonstrated the ability to work independently as part of a team and to use good judgment. 

Basic Responsibilities:

  • Advise senior management, the Boards of Directors of the Company and each of its subsidiaries, as well as internal customers on all facets of compensation and benefits.
  • Stay abreast of, advise and implement plans regarding federal and state regulations, including those from the SEC, DOL, DHHS, PBGC, EEOC and IRS related to compensation and benefit matters.
  • Prepare and submit required compensation, employment and related regulatory filings, including filing of the HBBHC Proxy statement with the SEC.
  • Prepare Compensation Committee meeting agendas and materials.
  • Draft, review and ensure legal compliance of all employee compensation and benefit plans and programs, including annual audits, 5500 filings, and IRS filings.
  • Act as Chairperson of HBBHC Benefits Committee responsible for obtaining approvals of plan amendments; SEC disclosure requirements (i.e. 8k filings)
  • Act as a member of the HBBHC retirement investment funds committee

Basic Qualifications:

  • JD degree
  • Admitted to practice in Virginia (or eligible for admission in VA)
  • Minimum of 3-5 years’ compensation and benefits law experience
  • Minimum of 3 years’ compensation staff management experience
  • General understanding /experience with Executive/Director Compensation
  • General understanding of U.S. Securities and tax laws, particularly as they relate to Executive Compensation
  • Demonstrated computer skills to include MS Office Suite
